Deadline for Mergers Consummation between Maiden Holdings and Kestrel Group

The consummation deadline for the merger between Maiden Holdings, Ltd. and Kestrel Group, LLC has been set for August 20, 2025, as per the Combination Agreement. This follows an amendment made on February 17, 2025, which extended both the deadline for Maiden to file a registration statement with the SEC and the Outside Date for the merger. Once completed, the merger will see Maiden and Kestrel become wholly owned subsidiaries of a new entity, Bermuda NewCo, which will be rebranded as Kestrel Group. This transaction is expected to consolidate the operations of both companies and may have significant implications for the market position of the newly formed entity.
